Kinder Morgan divests El Paso’s E&P assets for $7.15B

Affiliates of Apollo Global Management LLC, Riverstone Holdings LLC, Access Industries Inc and other investors, have signed a definitive agreement to acquire all of the oil and gas exploration and production assets of El Paso Corp for approximately $7.15 billion.

Mitsubishi enters PNG through $280M farm-out agreement

Mitsubishi Corp has signed a farm in agreement with Talisman Energy to acquire interests in nine licences in Papua New Guinea’s onshore Western Province for $280 million which will be paid in the form of capital carry. Following the farmout, Talisman and Mitsubishi interests in the licences will average 40% and 20%, respectively. The transaction is effective 1-Jan-2012 and is subject to approvals. Centrica acquires North Sea assets from Total for $388M

Centrica Plc has reached an agreement with Total E&P UK Ltd to acquire their non-operated portfolio of producing oil and gas assets and associated infrastructure in the Central North Sea (CNS) for a total cash consideration of $388 million. Around 20% of the consideration is allocated to UK tax allowances. The transaction is effective 1-Jul-2011 and is expected to close on a field by field basis with earliest closing date expected to be in Jul-2012, subject to necessary approvals. Shell offers a significant premium for Cove

Shell has offered to acquire Cove Energy Plc, a British oil and gas explorer, for approximately $1.6 billion within one and a half months after Cove Energy was put up for sale. Shell subsidiary Shell Bidco has offered £1.95 per (US$3.08) Cove share, valuing the company at £992.4 million (~US$1.57 billion). After accounting for Cove’s working capital surplus of $172.8 million, the deal value comes to ~$1.4 billion.  Continue reading here..


CAMAC Energy to acquire three blocks in Kenya


CAMAC Energy Inc has entered into a Heads of Agreement with the Kenyan Ministry of Energy for the award of three exploration blocks: 11A, L1B, and L16. CAMAC will be the operator with 90% interest in the blocks. The Government of Kenya will be carried at 10% through declaration of commerciality and may thereafter elect to participate up to 10%. Parex acquires further interest in Colombia block from Talisman Energy

Parex Resources Inc has signed an agreement with Talisman Energy to acquire its 25% interest in the El Eden block. Rock Energy divests Montney assets for $46M

Rock Energy Inc has agreed to sell its entire Montney natural gas assets in Elmworth area of Alberta for C$46 million (US$46.185 million). Rock Energy has closed the sale of some of its Montney gas assets (Transaction 1) to a Canadian oil and gas producer for C$36 million (US$36.177) on 9-Feb-2012. The remaining assets are being sold (Transaction 2) to a second Canadian oil and gas producer for C$10 million (US$10.008 million). Petsec Energy has signed an agreement to acquire 24.5% WI in Alberta Shale oil leases covering 17,280 acres. Petsec will have to pay 35% of the costs to drill one initial commitment well and 35% of the costs of drilling up to 3 optional wells. Chesapeake Plans $10-$12 billion worth Asset Sales in 2012

Chesapeake Energy Corp, the second biggest US natural-gas producer, in its 2012 financial plan report said that it is seeking to raise between $10-$12 billion through assets sales and joint ventures. Somerton Energy to Acquire Interests in Bonaparte Basin area Permits

Somerton Energy Ltd has secured options to participate in 4 Bonaparte basin petroleum exploration tenements in the Northern Territory, Australia from Beach Energy Ltd. Quicksilver to Spin off Certain Barnett Shale Assets

Quicksilver Production Partners LP (QPP), a wholly-owned subsidiary of Quicksilver, has filed for an initial public offering (IPO) to raise upto $250 million. In connection with the IPO, Quicksilver will contribute certain of its Barnett Shale assets and related derivatives to QPP. Encana targets Tuscaloosa Shale play

The Tuscaloosa Marine shale play, which covers approximately 2.7 million acres across central Louisiana and southwest Mississippi, could emerge as the next big shale play. In west-central Louisiana, the target shale in this new play is referred to as the Louisiana Eagle Ford by some industry peers, who note that it is similar in age and lithology to the highly productive, liquids-rich Cretaceous-age Eagle Ford interval in Texas. Total sells Colombian assets for $1 billion

Total has agreed to sell TEPMA BV to Sinochem . This fully owned affiliate of Total holds a working interest in the Cusiana field as well as a participation in OAM and ODC pipelines in Colombia. Total share of production of Cusiana is around 7,000 BOE/d. The sale follows a divestiture of 5 % WI in the Ocensa pipeline to Petrominerales and of another 5 % to Cepsa in July 2011. Iona acquires 58.8% interest in West Wick oil discovery from Centrica for $8.2M

Iona Energy has signed an agreement to acquire 58.73% WI, including operatorship, in the West Wick oil discovery on UK Block 13/21a from Centrica Venture Production Company for $8.15 million. Iona will pay a deposit of $3.15 million, and on completion will pay the remaining $5 million. EnQuest, Premier Oil and Eni – Possible Acquirers for Ithaca

Calgary-based Ithaca Energy Inc said that it has received a non-binding proposal to acquire all of the outstanding shares of the company. The Ithaca board says talks are at a preliminary stage and there is no certainty that the non-binding proposal will lead to an offer. As a result, shareholders are not required to take any action and Ithaca does not intend to comment further unless a definitive agreement is reached. The possible buyers could be Apache Corp, Premier Oil Plc, Total SA, Dana Petroleum Plc, EnQuest Plc and ENI. Continue reading here..
